We may outsource portions of the work to trusted third-party freelancers or partners as part of our white-label business model. You agree that portions of your project may be completed by third-party contractors or service providers.
3. Freelancer and Third-Party Involvement
Digital Touch works with a network of vetted freelancers and third-party providers to deliver projects. While we carefully select our partners, we are not responsible for their independent actions, conduct, or failure to meet specific deadlines. However, we maintain control over project management and quality assurance.
4. Client Responsibilities
- Provision of Information: You agree to provide all necessary information, content, and approvals in a timely manner for the completion of the project.
- Collaboration: Any delays in providing information, feedback, or approvals may impact project timelines, for which we are not liable.
- Approvals: It is your responsibility to review and approve work before final submission. Failure to provide feedback will result in acceptance of the project as delivered.
5. Payments and Fees
- Payments for services must be made according to the terms outlined in the individual project proposal or agreement.
- Late payments may result in delays in project delivery or suspension of services.
- Refunds are only granted if services are canceled before significant work has begun. Work completed up to the cancellation date is non-refundable.
6. Project Timelines and Deadlines
All project timelines are estimates. While we strive to meet agreed deadlines, delays may occur due to factors outside of our control, including client-related delays or third-party/freelancer issues. We are not liable for any consequential losses due to delays.
7. Intellectual Property
- Upon full payment, ownership of all original work (web designs, content, branding materials) produced by Digital Touch is transferred to you.
- Any third-party assets (e.g., stock images, licensed software) remain subject to their respective licensing agreements.
- Digital Touch retains the right to use completed projects in our portfolio unless otherwise agreed in writing.
8. Confidentiality
Both parties agree to keep all confidential information related to the project private and not disclose it to third parties without consent. This confidentiality extends to any materials, strategies, or business information shared during the course of the project.
9. Outsourced Work and Liability
- You acknowledge that Digital Touch may outsource portions of the project to third-party freelancers or subcontractors.
- While we manage the relationship with freelancers, you agree that we are not liable for any direct damages, delays, or issues caused by third-party work, beyond our control.
- We will, however, provide oversight to ensure project standards are maintained.
10. Revisions and Changes
- Scope Changes: Any changes or additions to the project scope requested after the project has commenced may incur additional charges and affect the project timeline.
- Revisions: You are entitled to a limited number of revisions as outlined in the project agreement. Additional revisions outside of this scope may be billed at our standard hourly rate.
11. Termination of Agreement
- Either party may terminate the project with written notice.
- If terminated by the client, all work completed up to the termination date must be paid in full.
- Digital Touch reserves the right to terminate the agreement if the client fails to meet agreed payment terms or other contractual obligations.
12. Limitation of Liability
To the fullest extent permitted by law, Digital Touch shall not be liable for any indirect, incidental, or consequential damages (including loss of business, profits, or data) arising out of or in connection with the use of our services or delays in project delivery. Our total liability for any claim related to our services shall be limited to the amount paid by the client for the specific project.
13. Dispute Resolution
Any disputes arising from these Terms or the services provided shall be resolved through mediation before taking legal action. If mediation fails, legal proceedings will be conducted in the courts of [Your Jurisdiction].
